The Opportunity

At insitro, we are combining human biology and machine learning to discover and develop new therapeutics. The heart of our strategy is to produce large data sets that will drive machine learning and yield key biological and therapeutic insights. This strategy requires a seamless, robust, and effective operation that spans multiple projects, some partnered and some in-house. Our success relies on working across functions, including high-throughput biology, automation, functional genomics, data science, machine learning, translational science, and drug discovery, to ensure that projects have what they need for successful execution.  Our cross functional work also requires critical support from our G&A teams, with the Legal team responsible for providing counseling and hands on support for transaction structuring, business negotiations, risk mitigation, compliance, and intangible asset management. 


We are seeking an experienced Corporate Attorney to assist with these responsibilities and support the growth and operational excellence of insitro.  Reporting to the General Counsel, you will have a broad scope of responsibilities tied to structuring insitro’s arrangements with external parties and developing its legal operations internally to support a growing, diverse employee base.  You will counsel internal clients across science, engineering and G&A groups on contract negotiations, business planning and legal risk mitigation.  You will understand the business needs and perspectives of project teams conducting work across diverse fields of business, science and technology, including development and advancement of therapeutic pipelines, stem cell engineering, chemical engineering, software, machine learning, and automation—translating that understanding into pragmatic legal advice and solutions.  You will anticipate, investigate and proactively address legal and regulatory issues presented by a complex, multi-faceted business geared toward drug development.  Your primary duties will involve supporting company financings, advising on investor matters, establishing/managing compliance programs, and negotiating agreements with external parties, including NDAs, MTAs, collaboration agreements, vendor agreements and commercial real estate arrangements.  You will also assume substantial responsibility for supporting corporate development, including strategic partnership arrangements, alliance management, M&A events and international transactions.  In partnership with other professionals in the Legal Department and throughout the company you will help develop information management and communication systems, legal content and engagement strategies to support all aspects of insitro’s internal operations and support for its workforce.


This role will regularly interact with Finance, HR, Business Development, Program Management, IT and various members of our scientific and engineering Teams.


Specific Responsibilities

  • Contracting matters – Partner contract negotiations, software licensing matters, vendor and related contracts, consulting arrangements, material transfer agreements and non-disclosure agreements
  • Compliance matters – Development and implementation of internal policies relating to a variety of corporate compliance matters; assist with meeting ongoing contractual and regulatory obligations
  • Equity/Corporate Governance matters – Equity management, SEC filing and blue sky compliance, corporate governance and investor relations matters
  • Legal Function Administration – Assist with organization of legal department affairs, internal company engagement with the Legal Department and use of legal resources by insitro employee base.  Implement management, content sharing and communication systems for providing scalable support to insitro employees across a range of legal issue areas.  Develop form documents, policies and best practices to support a company in a rapid growth stage.  Identify and scope future needs of Legal Department, including new hires, outside counsel expansion and internal support resources.

About You

  • J.D. from a top 20 law school
  • Minimum 7 years legal practice experience in general corporate transactional matters
  • Minimum 3 years experience at a Top 40 national law firm required, with prior in house experience a plus
  • Active membership in good standing in at least one state bar required
  • Willingness and ability to quickly learn and apply key principles from new legal practice areas
  • Apply legal insights, training and research to address a range of business matters 
  • Assist with developing processes and procedures to support efficient delivery of legal information and services to all internal stakeholders.
  • Manage outside counsel relationships in legal focal areas
  • Collaborative and proactive team player with ability to quickly gain fluency in new subject matter areas


Nice to Haves

  • Experience working at an early stage startup
  • Experience with biopharma regulatory matters, before the FDA and like state and international agencies
  • Exposure to computational methods that are relevant to drug design and development
  • Experience with biopharma-specific contracting and deal making conventions
  • Experience scoping projects and gathering technical requirements
